Cheatham County approves library software hosting contracts, lease and vendor addendum

Cheatham County commissioners on May 16 approved contracts with Book Systems, Inc., for library software and hosting services for the Cheatham County Library and the South Cheatham Public Library, a lease agreement related to county property, and a county addendum that alters certain vendor contract terms.
County Mayor Kerry McCarver presented the items during the meeting and commissioners voted 10–0, with two members absent, to approve the Book Systems contracts and the lease agreement with China Star/BP Ashland, LLC. The meeting packet included the Book Systems Customer Service Agreement (CSA), an Atriuum hosting/subscription agreement, and a signed addendum from Cheatham County.
The Book Systems CSA and hosting agreement describe warranty, maintenance, technical support and update terms and state Book Systems' preferred governing law as Alabama. The county addendum attached to the packet states that the County and Vendor agree the county’s addendum controls over contrary vendor terms, and it sets Tennessee law and Tennessee courts as the governing jurisdiction for disputes. The addendum also says the county will not indemnify the vendor. Commissioners approved the contracts with the addendum on the record; no public discussion was recorded.
The packet also included a Lease Modification No. 3 for a Sycamore Square storefront previously leased by BP Ashland, LLC and a related assignment of lease. The modification documents set the current term through Nov. 30, 2022, and describe an additional two-year option term with updated rent figures if the tenant remains in operation. The modification records that the landlord is Cheatham County and that the county authorized the assignment and modification.
County officials said copies of the signed contracts and addenda are attached to the official minutes. The measures carry forward existing county commitments to library technology, site hosting and a commercial lease tied to county-owned property. The commission took no additional action tying funding lines to the contracts during the meeting.
The agreements are effective as entered in the meeting packet; further implementation steps, such as hosting cutovers or invoice schedules, were not detailed during the session.
