Board adopts temporary-seat language, advances subcommittee roles and accepts officer slate; Class B director change tabled
Summary
The Portland Fish Pier Authority approved an amendment to allow a completed seat application and deposit to let the exchange manager temporarily grant purchase privileges pending board action, approved updated subcommittee roles, accepted a slate of officers, and tabled a proposed change to Class B director bylaws for further recruitment work.
The board approved several governance and procedural changes at its Feb. 23 meeting.
Rob proposed clarified language to the subcommittee’s recommendation on temporary seat privileges: upon receipt of a properly posted cash deposit or letter of credit and a fully completed seat application, the exchange manager "may temporarily grant a new seat applicant the privilege of purchasing fish on the auction until formal board approval at the next meeting." The board voted to adopt the amended language.
Board members also advanced and approved updated subcommittee roles after committee review, and then accepted a slate of officer nominations by a single vote: Rob Odlin as president, Tracy Pierce as vice president, Brennan O’Connell as treasurer, John Arnold as secretary and Heather Moretti as assistant secretary. The motion to accept the slate carried.
Separately, Heather introduced a proposal to remove the requirement that Class B buyer/processor directors have purchased on the exchange within the prior 12 months to broaden the candidate pool. Members raised concerns about representation and fiduciary duty; the board agreed to table that item and pursue outreach to potential candidates before deciding.
The board recorded votes on the bylaw amendment, the subcommittee roles and the officer slate and directed staff to circulate materials for the tabling and to continue recruitment outreach.
