State Bar business law section previews corporate-law amendments for 2027 session

Robert Kim, chair of the Business Law Section of the State Bar of Nevada, and Albert Kovacs, vice-chair, briefed the committee on likely subjects of 2027 corporate-law proposals. They described routine clerical changes to harmonize terminology and a set of substantive topics the section is studying: a plain-meaning provision for chapter 86 (LLCs); clarification of fiduciary duties in LLCs when operating agreements are silent; potential limits or minimum ownership thresholds for shareholder derivative claims (noting Texas’s 3% example); subject-matter limits on shareholder proposals; and whether corporations should be able to adopt lower removal thresholds for directors in their articles.
Kim said the section is preparing draft language this summer and will route proposals through the State Bar’s internal review calendar before the Board of Governors evaluates them. Kovacs said the committee looks at other states’ approaches for comparative context but does not adopt provisions verbatim; the section will consider optional or opt-in structures where appropriate.
