Geneva County Commission approves sale of landfill parcels, authorizes chairman to sign closing documents

The Geneva County Commission on March 9 unanimously approved the sale of county landfill parcels and authorized Chairman Toby L. Seay to execute closing documents needed to complete the transaction.
County Attorney Phil Eldridge told the commission the buyer agreed to buy the operational construction and demolition (C/D) landfill parcel and exercise its option to purchase the adjoining inactive sanitary landfill parcel at a price of $6,500.00 per surveyed acre. Eldridge said the buyer extended its due diligence period through March 13, 2026 and that the buyer has formed an Alabama limited liability company and intends to assign the purchase to Arena Tire Processors LLC.
Commissioner Todd Brannon moved to adopt the resolution ratifying and approving the previously executed Purchase and Sale Agreement and to authorize the chairman to take all necessary actions to close; Commissioner Bart Wilks seconded the motion. The vote was 4-0 in favor. Commissioners also voted 4-0 to obtain a closing protection offer to guard against theft or misappropriation of closing funds because the closing agent is located in another state.
Eldridge said the purchase price and closing packet were in hand and that closing should occur between March 13 and March 28, 2026, pending completion of a survey and final title matters; he noted a pending issue the buyer raised about proving county ownership of Landfill Road by prescriptive right of way, and said he had forwarded Alabama case law on that topic to the buyer's counsel for their review.
The commission also discussed logistics for Solid Waste Authority access to the transfer station after the sale; Engineer Justin Barfield explained the Solid Waste Authority will use the old solid waste landfill entrance rather than the current entrance off Landfill Road. No public comment opposing the sale was recorded in the minutes.
Next steps: the commission authorized the chairman to execute deeds, closing statements and any other closing documents necessary to consummate the sale as contemplated in the Purchase and Sale Agreement.
