CCRPC draft bylaws updated; members raise concerns about conflict‑of‑interest language

Charlie Baker, Executive Director, presented near‑final draft updates to CCRPC bylaws, including changes to committee appointment procedures and a substantially revised Conflict of Interest section.

Baker said the conflict language was developed with CCRPC’s attorney and aligned with the Municipal Code of Ethics in response to recent state legislation and a prior state agency audit that called for an enforcement mechanism. Several committee members supported allowing the Executive Committee to recommend appointees to the Board; they agreed that Community Engagement Advisory Committee members should remain board‑appointed while other committees continue with municipality‑appointed representatives.

Committee members raised concerns that the newly proposed Conflict of Interest provisions could inadvertently over‑restrict participation and procurement. Bard Hill, Chair, said his town had extensive discussion about how to address the "appearance of conflict" without disqualifying individuals from service or work for CCRPC. Jeff Carr noted that CCRPC’s contracting context differs from municipal procurement and urged tailoring the language to the regional commission’s realities. Members suggested further consultation with counsel to refine enforcement language and clarify how the policy will work with CCRPC’s contracting practices.

No formal vote was taken; committee members asked staff to continue revisions and return recommended language after additional attorney consultation.
