Henderson County approves up to $102 million financing amendment for courthouse annex

The Henderson County Board of Commissioners on April 15 unanimously approved an amendment to an installment financing contract that allows the county to finance construction of a courthouse annex as part of the Judicial Center in an amount not to exceed $102,000,000.
The financing will be implemented through the Henderson County Governmental Financing Corporation, which plans to issue Limited Obligation Bonds, Series 2026C, to be purchased by an underwriter. The resolution authorizes county officers to execute and deliver the financing instruments, the Official Statement associated with the offering, and related documents, and directs staff to seek Local Government Commission approval.
At the public hearing, resident Brett Werner spoke in opposition, saying, “A better use of funds would be for libraries, school nutrition plans, etc.” No other public commenters addressed the financing item. After the hearing, Commissioner J. Michael Edney moved to adopt the authorizing resolution; the motion carried 5-0.
County documents presented to the Board state the amendment would expand a prior October 2025 installment financing contract and related Deed of Trust to include the 2026C Project (the courthouse annex and related improvements). The instruments presented include Amendment Number Two to the Installment Financing Contract, a supplemental Indenture describing the bonds, and a Letter of Representation to the underwriter. The Board designated the County Manager, Financial Services Director and Finance Director as authorized officers to finalize details and select any co-managing underwriters as needed.
The resolution and supporting documents were described to the Board during the hearing; staff noted the instruments are to be filed with the Local Government Commission for approval before bond sale and closing. The county also authorized the County Attorney to provide legal opinions and to seek outside counsel as required.
The Board adopted the resolution by unanimous roll-call vote. The next procedural step is the county’s application to the North Carolina Local Government Commission for approval of the financing amendment.
