EDC delays creation of ad hoc strategy subcommittee, citing Brown Act and member capacity

The Vallejo Economic Development Commission voted unanimously on April 8 to defer establishing an ad hoc subcommittee for strategy and advisement and to delay appointments until the commission can operate with a full body.

Commissioner Harrell moved to postpone action on the subcommittee; the motion was seconded and carried on a roll‑call vote. Members debated whether the subcommittee must be created before it could take on a council‑requested report that is due in about 30 days. City attorney guidance and staff reminders about Brown Act limits on serial meetings were central to the discussion. "You can't get together ... in violation of the Brown Act to work on that report," the city attorney reminded commissioners, prompting a conversation about permissible collaborative approaches and the capacity needed to meet the council's timeline.

Commissioners discussed alternatives—delegating work to one or two commissioners to prepare materials for broader review, asynchronous work allowed within legal limits, or asking council for a deadline extension given current staffing and vacancy issues. The commission agreed deferral was prudent to ensure compliance and to allow for broader commissioner participation. Chair Monroe and staff agreed the commission will revisit the subcommittee formation once vacancies are filled and work can be conducted without Brown Act exposure.

The deferral preserves the option for a subcommittee to be formed later to advise the city council on EDC work plan items. Staff and the chair noted the need to balance timely responses to council requests with legal constraints and the practical availability of commissioners.
