Trustee David Eber pressed the board on what he called "punitive" boilerplate in the vendor's paperwork, citing provisions that he said would limit the vendor's liability to $250 and shift broad indemnity obligations to the library. "Why would we sign a contract that absolves the contractor from negligence? I don't get it," Eber said during discussion.
Library Director Ryan said the document before trustees was presented as a quote rather than a final contract and that he had already sent the vendor paperwork to the town counsel for review. "This is a quote and not a contract," Ryan told the board, adding he had flagged unclear warranty language and service terms with the vendor and with town counsel.
Facilities chief John Parent, who joined the meeting to answer technical questions, told trustees Custom Alarms is the town's long-standing alarm vendor and that short-term warranties are typical for camera hardware. "They're the alarm systems for the town, actually," Parent said, and indicated that facilities often absorbs small repair costs for permanently attached equipment but would return to the board if significant expenses arose.
After debate, Trustee Janet moved to approve the purchase and to fund it from the library's state aid balance, conditional on legal counsel's sign-off on liability and indemnity language. Mary seconded the motion. The motion passed 4-1, with one trustee voting no. The board instructed staff to ask the vendor for an additional 30 days to hold the quoted price while legal review proceeds.
The vote does not finalize the purchase; trustees said they want to resolve the vendor's indemnity and warranty clauses before authorizing final contract execution. Director Ryan said he would work with Town Counsel and with Trustee Eber to try to negotiate or clarify the contested provisions.
Next steps: staff will request a price-hold extension from Custom Alarms, await the town counsel's review and recommendations, and report back to the trustees for any further action or to finalize the purchase.
