The chair said the structure gives River City time to plan, remove the existing stadium, solicit developers through RFPs and negotiate contracts, while allowing the authority to end the arrangement earlier if appropriate. "3 year term up to including May 31 and 2 1 year extensions," the chair said while explaining the corrected contract language.
Harold Bryce, assistant city attorney, told the board that if the parties seek additional time beyond the agreed extensions any further extension would be documented through a written amendment and the board sitting at that future time would have authority to approve it. "As it comes to the end of that last extension ... the parties would enter into a written amendment," Bryce said, describing the standard contractual process.
The agreement requires River City Company to provide an annual report on the status of demolition and redevelopment planning. The chair described the authority's intent that River City ultimately take the land back and either develop it or sell it within the five‑year horizon, but said annual reports would allow the authority to monitor progress. Board members asked questions about the mechanics if extensions were used and expressed comfort with the clarified language.
The board approved the resolution by voice vote; the transcript records ayes and no opposition but does not give a roll‑call tally.
The agreement covers temporary access and construction use related to the Hawk Hill site and shifts operational responsibilities such as maintenance and insurance toward River City Company while the temporary arrangement is in force. The authority also confirmed it must continue to hold its annual meeting and will receive periodic updates on the site's status.
