Westwood Library trustees elect officers, approve annual resolutions and update bank signers

The Westwood Free Public Library Board of Trustees completed its annual reorganization at the Jan. 27 meeting, electing Suzanne Gorham as board president, Dennis Farrell as vice president, Mike Violano as treasurer and Linda Phayre as secretary. The board also approved several routine annual resolutions and updated authorized bank signers.

Members approved a set of annual governance resolutions that the board said preserve operational continuity. Those included: a resolution authorizing issuance of moneys without requiring vendor certification; authorization for the board president and treasurer to approve bill payments when there is not a quorum; a resolution authorizing the library director to close the library or declare late openings or early closings in the event of an emergency or inclement weather; and renewal of the agreement with the library’s attorney. Each resolution was moved, seconded and carried by the board.

The board approved a motion to add Catherine Dileo, the library director, as a signer on the library’s checking, operating and capital accounts and to remove former signer Martha Urbiel. The motion was moved by Bev Karch and seconded by Linda Phayre; the motion carried.

No major objections were recorded during the reorganization items. The board also confirmed committee assignments for the year: Budget Committee (Mike Violano, Noeline Grefrath, Claudia Gonzales-Doell), Building Committee (Dennis Farrell, Frank Zimmerman, Mike Violano), Policy Committee (Linda Phayre, Nickeisha Williams, Bev Karch) and Personnel Committee (Linda Phayre, Nickeisha Williams, Dennis Farrell).

The board adjourned the meeting at 7:45 p.m.
