Council delays EDC owner-financing plan for Off Boston properties pending legal review

The Nederland City Council unanimously agreed to postpone consideration of a proposal by the Nederland Economic Development Corporation (EDC) that would offer owner financing on commercial properties in the Off Boston area, saying the council needs clearer legal advice and full terms before taking action.
EDC Director Miss Dequer described the program as a tool to spur commercial occupancy and sales-tax revenue: prospective buyers would provide a minimum 10% down payment, loans would carry up to a 15-year maximum term and a quoted interest rate of 6%, and the EDC would retain ownership of properties on loan default. "So basically, it's 10% down for a minimum of 15 years with a 6% interest rate," the EDC director said during the presentation.
The program, as presented, would limit financing to commercial real estate that generates sales tax and job growth; residential uses were excluded. The director said underwriting would be handled through the EDC’s attorney and that borrowers would be required to meet credit standards similar to private lenders. She said the EDC would enforce the terms and re-assume the building if a borrower defaulted.
Why it matters: Council members and members of the public pressed for clearer legal authority, transparency and documentation before the council acts. Several council members said they had seen the offering advertised online and wanted to know whether the EDC had the explicit power under its bylaws or state law to offer seller financing. "In my opinion, this should come before council," Council Member Jones said, noting that finance-related programs may require explicit council approval.
Citizens raised fiscal concerns. "We're going to lose over $2 million when it's said and done," Todd Perkins told the council, urging greater oversight; Jackie Tubs warned that voters would hold council accountable in future elections if the city became a lender. Others asked where the bylaws and written loan documents were; the packet did not include fully drafted underwriting or contract terms, and multiple speakers asked that those documents be provided to council before a vote.
Council action and procedure: A motion to postpone consideration until the next meeting passed; the council then amended scheduling and ultimately set the EDC financing item to return to the agenda on Feb. 9 so that the city attorney or other legal counsel can provide formal advice. Council members said they want completed loan documents, a clear statement of underwriting practices, and confirmation of whether a third-party underwriter will be used.
Council members also asked for clarity on property restrictions, an HOA structure for the Off Boston properties, and at what point the EDC would relinquish management once occupancy thresholds are met. The EDC director said occupancy triggers would transfer control to an owners association once the development reaches roughly 70–75% occupancy.
What happens next: The council instructed staff and the EDC to provide the requested legal analysis and full documentation before the matter returns to the council on Feb. 9. The item was postponed to allow a city attorney or EDC legal counsel to present the specific bylaws, underwriting standards and written loans so that the public and council can review them in advance.
