Council reviewed a proposed lease for the train station on Nov. 5 after budget‑finance staff and the solicitor worked with a prospective tenant, Soc Designs LLC, to draft terms for a café, vendor space and remote‑work offerings.
Staff described the tenant's request for six months of rent credit to cover interior upgrades and asked council whether the borough should require a personal guaranty and a firm opening deadline. "They're looking for six months of rent credits because they're going to do some upgrades to the building," staff said, adding the rent was budgeted at $2,800 per month in the draft and that rent receipts would fund a capital improvement reserve for future roof or building work.
Solicitor Harper and council members discussed remedies if the tenant took possession but failed to open. Harper recommended the lease include a default provision tied to an explicit "open by" date so that unperformed rent credits could be reclaimed if the tenant did not operate by the agreed date. Council asked that the tenant provide a written construction schedule and that the lease require contractor insurance and a provision making the tenant responsible for routine operational maintenance while the borough retain responsibility for structural items such as the roof.
Staff also raised two further questions for negotiation: defining responsibility for major repairs (roof, structural systems) and whether future pole‑barn renovations by the tenant could be compensated with rent credits; council directed staff to leave such future arrangements to separate negotiation and require prior approval for renovations that create fixtures.
Council directed staff to revise the draft lease to (1) include a written opening schedule, (2) seek a personal guaranty from the individuals involved, (3) clarify insurance and damage liability during renovation, and (4) specify operational vs. structural repair responsibilities. The revised lease will be placed on the regular meeting agenda for final action.
