Staff said the document contained blank fields to be completed (dates, signatory names, legal descriptions) and that the county attorney had two flagged items: the venue clause and a "no construction against drafting party" clause in section 23.
Mark, a CTC representative who spoke during the session, said the vendor is comfortable removing the disputed drafting clause if the county prefers. County staff and the attorney agreed to strike section 23 to address the attorney's comfort level, and the venue was confirmed as the State of Montana for legal purposes.
After the parties agreed to complete the blanks and circulate a clean copy, a commissioner moved and a second commissioner seconded a motion to enter into the contract with CTC for disaster debris removal services. The board took a voice vote; the transcript records one commissioner saying, "I opposed," while the motion otherwise carried.
Staff directed CTC to complete the contract with the chair's and clerk's signatory lines (the chair will sign; the clerk and recorder, Karina Brown, will attest) and to return the finalized contract for signature and recording. Staff also noted permitting and DEQ certification may be required for designated debris sites and that FEMA documentation will need to be coordinated so reimbursement boxes are checked.
