Topeka board clears amendment allowing Hotel Topeka purchase agreement to be assigned to new entity

The Topeka Development Corporation on June 9 approved a third amendment to the purchase-and-sale agreement for Hotel Topeka, allowing the buyer, Endeavor Hotel Group LLC, to assign the contract to a newly formed single-purpose company, YBR Properties WG Topeka LLC.
Project Manager Copley told the board the county’s Industrial Revenue Bond (IRB) process is moving forward, with a first reading on June 4 and a final county vote expected either June 11 or June 19 depending on document cleanups and the amendment. Copley said Endeavor is negotiating a management agreement with Maynor but is “absolutely intent upon closing on the purchase of the hotel,” and that Endeavor would retain roughly 90% ownership of the single-purpose entity. Copley also said he included a certificate of good standing from the Kansas Secretary of State showing YBR is active.
The amendment modifies contract number 202501 to permit assignment from Endeavor to the YBR entity. Director Banks moved approval and Vice President Hoer seconded. The clerk read individual votes as recorded by roll call and the board president declared the motion carried.
Why it matters: Allowing assignment to a single-purpose entity is a common step in real-estate transactions to limit parent-company liability and to arrange financing; the board’s action clears a contractual hurdle ahead of the anticipated closing window. The board was also informed that the inspection period ends June 14 and the purchase closing is scheduled on or before July 14.
The meeting record indicates further negotiation remains open over a management agreement with Maynor, which the board was told has not been finalized. The board took no separate formal action on the management agreement during the meeting.
The board moved on to other business after the vote.
