The Baldwin Union Free School District Board of Education read and approved a resolution authorizing settlement of a lawsuit captioned Stalco Construction Incorporated v. Baldwin Union Free School District (Nassau County Supreme Court, index no. 24622606). The resolution, read in new business, authorized the board to settle the action and empowered the board president to execute a written settlement agreement and any documents necessary to effectuate the settlement.
Trustees moved and seconded the resolution (moved by Miss Souls, seconded by Miss Katrina Smith) and voted in favor; the transcript records the motion carrying. The resolution specifies settlement authority "subject to the execution of a written settlement agreement," but the public record in the meeting transcript does not include settlement terms or monetary amounts.
Earlier in the meeting the board also approved a separate settlement and release in connection with a contemplated due-process complaint, authorizing the president to execute that agreement as well. In both cases the board authorized execution of documents but did not disclose the terms in the public meeting record.
