A prolonged discussion at the Dec. 17 meeting focused on the Pittsfield Economic Expansion Corporation (PEAK), the town‑related economic development entity that councilors said has managed funds and projects on the town’s behalf.
Councilors asked whether PEAK is a registered 501(c)(3) with its own EIN or whether it has historically operated under the town’s fiscal structure. Multiple councilors requested documentation — the articles of incorporation, bylaws, annual reports and meeting minutes — and recommended the council ask PEAK to provide records and consult the town attorney about governance and financial control.
“If it’s a 501(c)(3) and everyone’s turned out…then governance becomes a priority for that organization,” one councilor said, urging a formal process for vetting and appointing directors. Councilors also said some board member terms appeared to have expired and noted the organization had not provided recent annual reports to the council as expected.
Councilors expressed concern about financial access to a PEAK bank account and recommended ensuring online access and signatory changes are handled when the town’s designated officials transition. Staff said some records are held in the town office and recommended the council request documentation from PEAK and, if necessary, ask the town attorney for an advisory opinion.
During the public comment period representatives of the Community Heart and Soul project updated the council on outreach work. Jan (public commenter) said the group has moved from phase one to phase two and will train volunteers to engage residents directly, gather input at community events and expand public visibility through a Facebook page and local outreach.
Councilors agreed to collect a list of questions to send to PEAK, verify its nonprofit status and determine next steps for appointing or reconstituting the board early in 2025. The council also noted it can operate through existing town committees if PEAK is not a viable vehicle for economic development.
