Commissioners approve revised Oregon Garden Foundation bylaws
Summary
Marion County commissioners unanimously approved a revised second restated Oregon Garden Foundation bylaws that remove court receivership language, adjust quorum requirements and retain county oversight, the board was told.
The Marion County Board of Commissioners voted Jan. 22 to approve revised second restated bylaws for the Oregon Garden Foundation, a nonprofit governed in partnership with the City of Silverton and Chemeketa Community College.
Sara McDonald, research and policy manager, said the bylaws were last revised in 2007 and the major change was removal of language referring to court receivership because the foundation is no longer in receivership. The revised bylaws retain oversight provisions and preserve the board’s role in approving the foundation’s annual budget. The bylaws also reduce the quorum requirement for the five‑member foundation board from four members to three, provided at least one quorum member is the representative (or designee) of the City of Silverton.
Commissioner Patti Milne said the change addresses past difficulty achieving a quorum at foundation meetings. Commissioner Milne moved approval of an order adopting the revised bylaws; Commissioner Janet Carlson seconded and the motion carried by unanimous voice vote.
The order was approved on the record; no amendments were recorded during the session.
