City staff briefed the council on ongoing legal preparations related to Northwest Natural Gas and a potential transaction that will require Minnesota Public Utilities Commission (PUC) attention.
Staff said they and a colleague will meet with Excel representatives in Minneapolis on Friday the 20th. A pre-settlement conference between the legal teams is scheduled for the 25th to set timelines for discovery and motions. "It's going to be a long process stretching into 2026," staff said.
Staff explained that Minnesota statute requires PUC ratification for any merger, sale or transaction valued over $1 million for utilities that qualify as public utilities under state rules. They noted Northwest Natural Gas previously filed documentation with the PUC in 2020–22 to show it remained under the 5,000-customer threshold that determines small-utility exemption eligibility; staff said both legal teams expect the PUC to be familiar with the company and do not anticipate major surprises but cautioned that political bodies can introduce uncertainty.
No formal action was taken; staff will continue coordination with legal counsel and return to council as appropriate.
