Committee members raised ambiguity in the proposed Code of Conduct for Board Members over whether disciplinary action should require a two‑thirds vote or a simple majority. The committee voted to consult legal counsel before advancing that bylaw. Members made a similar decision about bylaws governing removal of Board officers, agreeing to postpone action pending legal guidance.
The subcommittee also identified inconsistencies between the Filling Vacancies bylaw and the town charter, noting the charter calls for a 45‑day window for party appointment, followed by a Board appointment and, after 90 days, appointment by the Board Chair; the committee agreed to revise the bylaw to align with the charter.
Other bylaws discussed included a Committees bylaw clarifying that the Board Chair appoints committee members and chairs (no concerns raised), a Conflict of Interest bylaw (no recommended revisions), Meeting Conduct (postponed pending legal review), and an Oath of Office bylaw (state‑required; no changes recommended).
Don Ramsey moved and Doria Linnetz seconded motions to forward the relevant bylaws and to recommend rescinding Bylaws 9272, 9130, 9270 and 9000 and to rescind and replace Policy 2131, Policy 1200 and Policy 5155. The motions passed unanimously. The committee will present the recommendations and the request for legal guidance to the full Board for action.
