Resident urges rewrite of Community Center bylaws after nonprofit registration lapsed

Suzy Beck, a resident, told the Chula Board of Aldermen during public comment on Feb. 2 that the Community Center’s nonprofit corporation registration lapsed after it failed to renew on June 15, 2021, according to the State of Missouri website. She urged the city to start over with new bylaws and to have those bylaws reviewed by an attorney.
Beck said the existing bylaws were written incorrectly, were signed by officers but not notarized, and that financial statements from 2022 should be reviewed by an accountant to "get things caught up." She added that bylaws could be rewritten to allow members who live outside the city limits and that past board members in 2021 included John Graves, Diana Holcer and Kati Westcott. "We need new bylaws gone through by attorney," Beck said.
Beck recommended several governance changes if the nonprofit is reconstituted: combine the Community Center and Fair Board accounts because fair funds currently go into the same account; require the treasurer to be bonded for $50,000; and produce a committee list for the board to review before selecting new committee members. She said the group does not yet know whether there will be legal or financial repercussions for failing to file annual reports.
The board did not take formal action on the Community Center during the portion of the meeting available in the record. Beck said a committee list would be provided and that the board planned to move forward with drafting new bylaws subject to attorney review.
