The Clarkson Valley Board of Aldermen on Dec. 2 approved a one-year contract for information technology services with The Brain Mill, Inc., amending the contract’s Term/Termination clause during the meeting.
City Administrator Megan Eldridge read Bill No. 0580. City Attorney Patrick Butler pointed out an error in the contract language; the board agreed without objection to amend the Term/Termination clause to read: "This Agreement shall be in effect for 12 months beginning the effective date of this Agreement, subject to termination upon forty-five days' written notice given by either party." The revised language was read for a second time and the board then voted to approve the bill as amended.
The roll-call vote to approve the amended contract was unanimous. The change limits the city’s and contractor’s exposure by providing a defined initial term and an exit notice period.
No dollar amounts for the contract were provided in the meeting minutes. The contract received approval contingent on the corrected Term/Termination language.
