Trustees pressed on several contract features. Concerns included the lease term — a 50-year initial term with two 10-year extension options that staff described as potentially extending the arrangement to 70 years — and who would bear insurance and indemnity costs. One board member summarized: "This is a 50 year lease that can't be terminated by us... that kind of makes me a little nervous." Staff said the district's counsel has negotiated multiple revisions with the provider's legal counsel.
Board members also asked about the financial terms: a payment schedule with escalators (staff noted a 10% increase every five years) and whether long-term cumulative increases could outpace district insurance costs or other liabilities. Staff said the upfront equipment contribution from the provider is substantial and that much of the operational benefit is in improved coverage rather than dependency on lease revenue alone.
After discussion a trustee moved to amend and postpone the motion, seeking time to consult the district's legal counsel and insurance carrier about premium impacts and termination flexibility. The board approved the postponement by voice vote; staff said the lease will return for consideration at the next meeting and that counsel will provide requested clarifications in writing before the vote.
