Peter Flaherty moved the resolution and Jerome Plante seconded; the motion passed unanimously. Board Chair Carol Marcotte was recorded as the board member who will sign the contract to provide the required representative signature.
The board also reviewed and approved an "Opinion of Counsel Authorization" form noting that the law firm Drummond and Woodsum represents both RSU 23 and Gorham Savings and Leasing Group on unrelated matters; the form acknowledges that counsel represents both parties on nonrelated affairs and was to be signed as part of the transaction documentation.
No dissent or amendment to the lease-purchase resolution was recorded. The motion carries administrative follow-up: Chair signature on the contract and completion of the Opinion of Counsel authorization form.
