State Fair board amends bylaws to clarify term counting for vacancies and to grant discipline authority

During the Dec. 19 meeting the Nebraska State Fair Board approved two bylaw amendments addressing board service terms and member discipline.
The first amendment clarifies how consecutive terms are counted when a member fills an expired vacancy: time served to complete an unexpired term that had already expired will not be counted as one of the three permitted consecutive full terms. Dawn Caldwell moved to approve the amendment; Tom Schellpeper seconded and the motion carried.
The board then approved a new Section 6 establishing the board’s authority, by a two‑thirds majority vote of the entire board, to censure, sanction, reprimand or otherwise discipline a board member who has violated duties of a director, engaged in conduct detrimental to the State Fair or violated organizational policy, code of conduct or ethical standards adopted by the board. John McKeever moved the amendment; Kevin Havlovic seconded and the motion carried.
Board members framed the changes as governance clarifications intended to protect the organization’s operations and ethical standards.
