Secretary of State reports expedited filing launch and digital-asset registration totals

Joe Rubino, policy director for the Wyoming Secretary of State's office, updated the committee on implementation of the Digital Asset Registration Act and a newly launched expedited filing program.
Rubino said the registration system went live Dec. 1, 2023; the office has received 69 digital-asset registrations total and 28 since the last interim report. He described rules (adopted as emergency and regular rules) to implement statutory expedited filing authority, including same-day and next-business-day service tiers, prepaid account verification, and limited ineligibility where interagency review is required.
Early usage: the office reported 14 expedited filing requests since the July 1 effective date of the expedited rules, mostly next-day requests; certificate-of-authority filings accounted for the largest share as businesses seek to show foreign entities' authority to do business in Wyoming.
Rubino reminded members that expedited processing does not alter legal priority of filings under existing statute and that filers have the statutory cure period to address deficiencies while preserving the original timestamp.
He also provided counts for series LLCs and DAOs: about 3,500 total series LLCs (2,401 active) with 21,995 registered series; 1,417 DAO LLC filings with 547 active; and 12 voluntarily registered DUNAs (decentralized unincorporated nonprofit associations) noting that DUNA filings are optional and likely undercount the actual population.
Why it matters: Expedited filings and clearer registration channels aim to provide regulatory certainty for businesses and digital-asset projects that rely on Wyoming corporate and filing infrastructure.
The committee asked staff whether statutory language will need changes; Rubino said the current statute and rules seem sufficient and that the office will report updated usage and rule-comment results in September.
