Town staff presented a proposed service agreement with Numo for short-term rental management and asked the Select Board for guidance on several contract terms including a non-appropriation clause, set-up fees, and billing cadence.
Staff said legal had reviewed the contract and flagging the non-appropriation clause (60 days) and a $5,000 setup fee with the balance due annually at onboarding. “The software does seem to meet the needs of the department,” staff said, but noted the annual billing raised cash-flow concerns because the town’s tax receipts arrive later in the fiscal year.
Board members asked staff to negotiate alternatives: a July 1 implementation date to align payments with the budget year or a quarterly (or six-month) payment schedule to reduce cash-flow risk. Members also asked that the contract explicitly allow in-person check or cash processing at town offices and clarify how electronic processing fees will be handled for in-person transactions.
Staff said they had contacted Numo to confirm capacity thresholds in the contract and were told the vendor's existing terms would cover current volumes but would need renegotiation if the roster reached about 1,000 units. Staff committed to seek a quarterly billing option and return an updated contract to the board for consideration; they offered to have a final version ready for the May 4 meeting if negotiations progress quickly.
Board direction was procedural: staff are to negotiate payment cadence and clarify payment-processing language, then return with a revised contract for board action.
