The Tax Increment Finance Authority (TIFA) Targeted Development Committee of Hillsdale entered a closed session May 5 to negotiate a management proposal for the Dawn Theater after brief public comments from board members and advocates.
Chair Chris Bahash called the meeting to order at 5:34 p.m. and recorded members present: Chair Chris Bahash, Andrew Gelzer, Kevin Conant and Luke Robson. After approving the meeting agenda on a 4-0 vote, the committee heard public comments related to the Dawn Theater management proposal.
Chair Chris Bahash asked members of the Friends of the Dawn board to reserve detailed remarks for the closed session because of time constraints. Tim Sullivan of the Dawn Theater Governance Board said he was “impressed” with the Friends of the Dawn proposal. James Brandon, chair of the Dawn Theater Governance Board, said his chief concern was that the venue is operating but said he favored the Friends group’s proposal because it aligned closely with the theater’s original intent.
No formal on-the-record introduction was made of the individuals present on behalf of the Friends of the Dawn board before the committee voted to enter closed session. Chair Bahash moved to go into closed session “for the purpose of negotiations connected with the management proposal”; the motion was seconded and approved by roll call with Bahash, Gelzer, Conant and Robson voting yes. The committee entered closed session at 5:43 p.m. and returned to open session at 6:28 p.m.
Following the closed session, the committee adjourned at 6:30 p.m. The committee deferred approval of draft minutes; no motion was made to approve minutes and the record indicates they will be approved at the next applicable meeting.
The meeting record does not show a formal, on-the-record presentation by the Friends of the Dawn during open session, nor does it record any final action or vote adopting a management agreement. The closed session was explicitly described as related to negotiations over a management proposal; no further public details about negotiations or any agreement were included in the meeting minutes.
