Bedford council approves AECOM contract for proposed passenger rail stop, keeps indemnification open

The Bedford Town Council voted Feb. 25 to authorize the town manager to enter a contract with AECOM to perform environmental and preliminary engineering work for a proposed passenger rail stop, while making final award conditional on resolving an indemnification clause.
Town staff told the council that the work is funded by a CRISI grant administered through the Federal Railroad Administration; AECOM emerged from a competitive procurement (nine proposals, three finalists) as the most-qualified firm. The manager said the contract term would run through July 2027 and that the scope covers NEPA environmental work and preliminary engineering required by the grant.
Council members raised a specific contractual concern: section 18.1, a risk-sharing/indemnification clause the town attorney and AECOM's counsel were still negotiating. An attorney or council member asked the council to approve scope and price now "with the understanding" that the indemnification language would be resolved to the satisfaction of the town manager and town attorney before final execution. The motion the council approved reflects that condition.
Staff and an administrative speaker identified the project's total cost at about $1,850,000, requiring a 20% local match of $375,000, which the town has allocated. The manager said the town is the fiduciary agent for the grant and remains engaged with neighboring jurisdictions about next steps.
Mayor Stanley called the vote after discussion; the motion passed unanimously. The council did not authorize final signature on the contract until the indemnification language in section 18.1 is resolved to the town attorney's and manager's satisfaction.
Next steps include completion of the contract negotiation on indemnification language and proceeding with the grant-funded environmental and engineering tasks once the legal concerns are closed and the town manager signs the agreement.
