Trustee Bobbie Frank moved to approve the February minutes and Trustee Marsha Miller seconded; the motion passed unanimously. Later in the meeting, after Director Walters explained he would need a signed proxy in case Trustee Frank could not attend the BVF meeting, Trustee Marsha Miller moved to authorize the director to vote for absent trustees; Trustee Kurt Wyant seconded and the motion again passed unanimously. No abstentions or recorded dissent were noted.
The motions were recorded in the meeting minutes and the director was instructed to obtain a signed proxy form for the BVF business meeting. The minutes do not record additional conditions or limitations on the authorization.
