The agreement would be a limited-warranty-deed conveyance with no monetary consideration, transferring the facility and related assets to the school system as of a defined turnover date once property descriptions and title work are completed.
The County Attorney explained the board would be asked to approve the draft agreement in "substantial form" to allow title work and deed preparation to proceed; final property descriptions must be completed before consummation. He noted an express reservation in the draft protecting each party's rights in a pending litigation matter involving an alleged injury at a graduation ceremony, so the transfer would not change litigation rights. Staff said the city had approved the draft in substantial form at its recent meeting and that the board would be asked to do the same and authorize the chairman to execute transactional documents once finalization is complete.
The board had questions about ownership of the east-side parking lot and easements retained by the Callaway Foundation; staff said title work would determine exact ownership and any reservations. The matter will return to the evening meeting for a formal vote.
