Board debates bylaw changes on filling vacancies; trustees request more review on residency and leave language
Summary
Trustees reviewed CSBA‑recommended updates to the bylaw on filling vacancies, discussed trustee‑area timing, residency/inhabiting language, and whether maternity or extended medical leave should affect service; staff will bring a revised draft back after governance review, likely in November.

The board reviewed proposed bylaw changes addressing how vacancies are filled, updated to reflect trustee‑area elections and CSBA guidance. Staff noted two trustees remain elected at large for a few months and recommended final approval after trustee‑area transitions.
Trustees raised questions about wording that distinguishes 'inhabiting' from 'residing' and asked clearer definitions that will guide candidate onboarding and eligibility. One trustee asked staff to examine whether the bylaw's language about failure to perform duties for three months should explicitly address maternity leave or other medical leave. "There was stuff in here about a board member failing to do their duties for three months, and I can imagine in the event of a pregnancy that a complication would take more than three months," one trustee said.
Staff recommended returning the bylaw for review and action after the election cycle; trustees agreed to discuss bylaw review and onboarding in a governance team session so new members can be included.
