He described the work as a 'clean audit' that compared nearly 300–400 archived motions to written policy and flagged places where motions should be added, clarified or codified.
Teney listed recommendations ranging from clarifying the distinction between individual board requests and formal board direction to creating a formal amendment and revision log in the governance manual. He said monitoring report formats should be standardized and recommended codifying committee creation, membership and reporting requirements.
Board members raised process and timing concerns, with several urging more time for full review by members who were not present in person. Teney said the policy committee is needed to handle the volume of recommended changes and to draft specific policy language the full board can vote on at a subsequent meeting.
