The board discussed fiscal tradeoffs and confirmed the expense is a budgeted substitution for capital HVAC work deferred to a future budget.
Township solicitor Mr. Esty summarized changes negotiated with Pavion that he described as protecting the township: the vendor agreed not to raise prices during the contract term, to assign manufacturers’ warranties to the township and to provide an insurance certificate listing the township as additional insured. Esty also said the addendum narrows the township’s indemnity obligations. As he put it, “If Avion and its contractors and employees do something which is grossly negligent or intentional, we do not have to indemnify them, and they will be responsible for any damages or injuries that result from intentional acts or gross negligence.”
Supervisor discussion noted the expenditure will be funded by substituting the upgrade for previously budgeted HVAC capital line items. Chair made the motion to approve the proposal and a supervisor seconded; the board approved the contract addendum and upgrade by voice vote.
