Member Frank Fagundes moved to approve the listed bylaws and Rodrigo Espinosa seconded. The motion carried 3–0. The adoption updates the board's governance documents; the board record shows no amendments were proposed during the motion and the changes take effect according to the bylaws' own provisions.
