HOA member warns Track L transfer would breach homeowners' expectations and privacy

Shepherd told the council that the HOA governing documents describe the tract as protected and that ‘‘removing [the conservation easement] would require a super majority vote of all homeowners as well as a written approval from Richmond American, the original developer.’’ She said the HOA does not expect those thresholds to be met at this time and that the community plans to pursue volunteer maintenance and a neighborhood subcommittee to address liability concerns.
Council members asked clarifying questions about whether the HOA board had authority to negotiate with the city and whether that board represented a majority of homeowners; Shepherd said the governing documents might conflict with Oregon law and noted that, under state statutes, many boards cannot transfer commonly held property without an approximately 75% super‑majority.
The council did not take immediate action on the item during the public comment period; staff indicated the consent agenda could decline acceptance of the tract for the time being so issues can be resolved. Shepherd said the HOA will continue to communicate with city staff and may return with further materials.
