Board approves VEDP/Amazon performance agreement despite Vice-Chair's objections

The Caroline County Board of Supervisors voted 5'1 on Feb. 10 to approve a performance agreement with the Virginia Economic Development Partnership (VEDP) and Amazon Data Services that memorializes prior payments related to a cloud-computing cluster infrastructure grant.
Vice-Chair Jeffery M. Sili pulled the item from the consent agenda to reiterate prior objections to recital language in the original January 2024 performance agreement. County Attorney Chris Mackenzie told the Board the revised agreement does not create any new financial obligation on the County and that any potential shortfalls would be Amazon's responsibility, not the County's.
Supervisor Floyd W. Thomas moved to approve the agreement; Supervisor Nancy L. Long seconded. The roll-call vote recorded Supervisor Jeffrey S. Black voting Aye, Supervisor Nancy L. Long Aye, Chairman Clayton T. Forehand Aye, Vice-Chair Jeffery M. Sili Nay, Supervisor Floyd W. Thomas Aye, and Supervisor Reginald L. Underwood Aye. The motion carried 5'1.
The Board recorded the vote and proceeded with the remainder of the consent agenda. No public comments were offered during the item.
The agreement was described in the staff packet as an administrative document to satisfy state grant requirements; the County Attorney's advice provided the key legal context relied upon by the majority of the Board.
